Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of all services provided by OpenArtemis Ltd. ("OpenArtemis", "we", "our", or "us"), including but not limited to the ArvoCode platform, THDB API, and the OpenArtemis website (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use the Services. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case the terms "you" and "your" refer to that entity.

2. Description of Services

OpenArtemis provides access to artificial intelligence models, developer APIs, data products, and related infrastructure. Our Services currently include:

• ArvoCode — a consumer and developer AI assistant platform offering chat, CLI, and programmatic API access to the Arvo family of models.
• THDB — The Helix DataBase, a media intelligence and automated dataset API.
• Programmatic API access to both of the above via Bearer-token authentication.

We reserve the right to modify, suspend, or discontinue any Service at any time, with or without notice, in our sole discretion.

3. Eligibility

You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to use the Services. By using the Services, you represent and warrant that you meet this requirement, that you have the legal capacity to enter into a binding contract, and that you are not prohibited from using the Services under applicable law.

4. Account Registration

Some features of the Services require you to register for an account. When you register, you agree to provide accurate, current, and complete information and to keep that information up to date. You are responsible for safeguarding your credentials and API keys, and for all activity that occurs under your account.

You must notify OpenArtemis immediately of any unauthorized use of your account or any other suspected breach of security.

5. Prohibited Uses

You agree not to use the Services to:

• Engage in any activity that violates applicable laws, regulations, or third-party rights.
• Generate content that is unlawful, defamatory, infringing, obscene, or otherwise harmful.
• Abuse, exploit, or attempt to bypass safety mechanisms, rate limits, or content filters applied to the Arvo models.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code, weights, training data, or architectural details of any OpenArtemis model or system, including the Helix Architecture.
• Scrape, crawl, or extract data from the Services through automated or non-sanctioned means.
• Generate outputs intended to cause material harm to persons, critical infrastructure, financial systems, democratic processes, or public safety.
• Resell, sublicense, or redistribute the Services without express written permission.

6. Intellectual Property

All intellectual property rights in and to the Services — including without limitation the Helix Architecture (HA), the Arvo model family, all model weights, training methodologies, datasets, software, documentation, the OpenArtemis trademark, and all improvements and derivative works — are and shall remain the exclusive property of OpenArtemis or its licensors.

The Helix Architecture and all associated methods are proprietary trade secrets of OpenArtemis. No part of these Terms grants you any right, title, or interest in or to any OpenArtemis intellectual property, except the limited right to use the Services as expressly provided herein.

You retain ownership of the inputs you submit to the Services. Subject to applicable law and these Terms, you own the outputs generated for you by the Services.

7. API Usage & Rate Limits

Programmatic access to the Services is subject to rate limits and fair-use policies published at platform.openartemis.com. OpenArtemis may throttle, suspend, or terminate API access that exceeds applicable limits or otherwise violates these Terms.

API keys are personal to the account holder and must be kept confidential. OpenArtemis is not liable for any loss arising from unauthorized use of leaked or disclosed API keys.

8. Payment & Subscriptions

Paid Services are billed in advance on a recurring basis according to the tier you select (Core, Plus, or Pro). Fees are non-refundable except where required by law. API consumption fees are non-refundable once incurred.

You may cancel your subscription at any time from your account dashboard. Cancellation takes effect at the end of the then-current billing period. OpenArtemis reserves the right to modify pricing upon reasonable notice.

9. Termination

OpenArtemis may suspend or terminate your access to the Services at any time, with or without notice, for any violation of these Terms or for any other reason in our sole discretion. Upon termination, your right to use the Services will immediately cease.

Sections that by their nature should survive termination (including IP, limitation of liability, governing law, and indemnification provisions) shall survive.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

OpenArtemis does not warrant that the Services will be uninterrupted, error-free, secure, or that outputs generated by the Arvo models will be accurate, reliable, or suitable for any particular purpose. You are solely responsible for evaluating and using any outputs.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL OPENARTEMIS, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID OPENARTEMIS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED POUNDS STERLING (£100).

12. Governing Law

These Terms and any dispute arising out of or related to them shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict-of-laws rules. The courts of England and Wales shall have exclusive jurisdiction to resolve any dispute.

13. Changes to These Terms

OpenArtemis may update these Terms from time to time. Material changes will be posted on our website and, where appropriate, communicated by email. Your continued use of the Services after the effective date of any update constitutes your acceptance of the revised Terms.
